Jason M. Ross

SUMMARY

Jason is a shareholder of the Davis Brown Law Firm and is a member of the Business Division. He has a general practice in, but not limited to, commercial transactions, mergers and acquisitions and distribution and franchise law. Prior to joining the firm, he practiced law in Milwaukee, Wisconsin at an Am Law 50 firm, where he had a similar practice.

 

Jason advises on a full spectrum of commercial and corporate matters affecting businesses. Commercial matters include purchase and sale of goods and services, licensing, joint ventures, commercial agency, product distribution and franchise. These commercial matters are frequently cross-border in nature. He routinely provides advice on corporate matters such as formation, acquisition, disposition and financing of private companies.

 

Jason is active in Lex Mundi, an international association of independent law firms, and works to develop relationships with legal professionals outside the United States to assist clients with cross-border transactions and international trade matters. 

 

REPRESENTATIVE ENGAGEMENTS

His clients include franchisors, manufacturers, and vendors of a diverse array of goods and services, including food items, packaging materials, telecommunications services, agricultural products, and engine parts.  Jason counsels franchisors on registration, disclosure, termination and other general business and legal needs.  He assists clients with general commercial matters such as supply agreements, sales representation agreements, licensing agreements, distribution agreements and terms and conditions of sale. 

 

He also counsels clients on the termination of distribution and sales representation arrangements.  Jason has advised clients in acquisition transactions and joint ventures in a variety of industries, including telecommunications, medical equipment, bio-technology and traditional manufacturing.
