The experience of the attorneys in Davis Brown's Securities Department covers a wide range of securities transactions and reporting for companies in a variety of industries, including various types of public and private securities offerings, as well as corporate governance and investment adviser matters. Our attorneys have extensive experience in preparing disclosure documents and materials, negotiating underwriting and placement agreements, structuring various types of offerings and managing the public registration process.
Our registered securities experience includes serving as issuer's counsel in connection with registered initial and secondary equity and debt offerings, shelf registrations, ongoing reporting with the Securities and Exchange Commission and directing the de-registration process. In addition, we regularly act as issuer's counsel in private securities and corporate finance matters for start-up and established companies, including private placements, Rule 144A placements, venture capital financings and other exempt offerings.
Attorneys in the department advise clients in a wide range of industries with respect to the purchase, sale and distribution of securities. Among others, the clients we serve include financial institutions, investment banks, insurance companies, renewable fuel producers, investor groups, investment advisers, venture capital firms, health care organizations, high-tech and industrial companies, agricultural cooperatives and state agencies.
