CONCENTRATION

Don is Of Counsel with the Davis Brown Law Firm in the Business Division. His practice encompasses the areas of Business and Non-Profit Governance Issues, Business Transactions, and Estate Planning.

SUMMARY

In addition to his extensive business practice, Don has had a long history of practice in the estate planning area, where he continues to advise a number of families for whom he has established intergenerational plans.

REPRESENTATIVE ENGAGEMENTS

Don has served as independent outside counsel for the Governance Task Force of a New York Stock Exchange listed client in restructuring its board of directors to reflect the changing expectations of director independence following the enactment of the Sarbanes-Oxley Act.

He also serves as independent outside counsel for the board of a major employee-owned business enterprise, where he attends the board meetings and helps the board with its procedures and evaluations of its governance documents, such as its Governance Guidelines, Committee Charters, Code of Ethics, conflicts of interest issues and other matters arising in the regular course of board meetings.

Most recently Don was counsel for the issuer of debt securities in a Rule 144A transaction, and in the follow-up SEC registration and exchange of
registered securities.
