Employee Benefits and Executive Compensation/ERISA
The Davis Brown Law Firm advises clients in the choice and design of both qualified and non-qualified employee benefit plans. Qualified plans include defined contribution and defined benefit pension plans, 401(k) plans, employee stock ownership plans (ESOPs), and employee welfare plans (including health care, dependent care, life insurance and disability insurance plans and programs).
The department advises clients in the development of executive compensation strategies, including deferred compensation, phantom stock plans, restricted stock, stock options, current bonus plans, share appreciation rights and stock equivalency plans. The department also drafts employment agreements which reflect such executive compensation strategies.
In addition, the firm's attorneys assist clients in drafting the necessary plan documents, as well as providing ongoing advice with respect to plan maintenance and continued compliance with the Internal Revenue Code, ERISA and related regulations. The department also consults with individuals and custodians on Individual Retirement Account (IRA) transactions with regard to compliance with applicable law.
