The Davis Brown Banking and Financial Institutions department advises national, state, and community banks, bank holding companies, subsidiary banks, accounting firms, financial institutions, lenders, and others on a variety of matters including:

In recent years, due to increasing competition, regulation, limited capital, and issues in finding appropriate staff and succession planning in rural areas, Davis Brown has advised many banks in their mergers and acquisitions.
We assist with corporate governance documents (e.g. articles of incorporation, bylaws, buy-sell agreements, shareholder agreements, executive employment agreements, and more), gaining shareholder and board approval, and gaining regulatory approval.
We represent clients before state and federal regulators including the Iowa Division of Banking, the Federal Reserve, the FDIC, and the Office of the Comptroller of the Currency, among others.
We have strong connections across the industry and at regulatory bodies, including the Consumer Financial Protection Bureau, through our active participation in the Iowa Bankers Association (department chair Beau Gamble has served as General Counsel for 20 years) and its national partner, the American Association of Banking. We help amplify our clients’ concerns regarding regulation and other matters to these regulators and the congressional delegation.
Davis Brown has also represented several quasi-state entities, including Fannie Mae and Federal Home Loan Bank, offering innovative financing in Iowa. The department takes pride in its creative approach to financing transactions in Iowa.
Davis Brown represents banks as they merge, acquire, or sell subsidiaries to financial institutions or holding companies. We help clients with the bid process, negotiation and execution of transaction documents, applications, obtaining regulatory approvals, escrow, closing, and post-closing activities.
